Terms of Service

Please read carefully. These Terms include an agreement to resolve disputes by binding arbitration on an individual basis and a waiver of class actions (Section 18). They also describe important limits on Hey'Lette's liability. By using Hey'Lette, you agree to these Terms.

1Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Hey'Lette, Inc. governing your access to and use of the Hey'Lette mobile applications, websites (including hey-lette.com), and related services (together, the "Services").

By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy and Refund & Subscription Policy, which are incorporated by reference. If you don't agree, don't use the Services.

2Who we are

"Hey'Lette," "we," "us," and "our" refer to Hey'Lette, Inc., a Delaware corporation headquartered in Buffalo, New York, together with its wholly owned subsidiaries, including Hey'Lette Travel Nurse LLC and Hey'Lette Travel Professionals LLC.

Hey'Lette is a technology platform that helps travel nurses and other healthcare professionals discover opportunities and manage the logistics of travel assignments — including job listings, housing and transportation resources, licensing information, safety insights, and professional networking. Hey'Lette is not a healthcare provider, or a provider of medical, legal, immigration, or tax advice.

3Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and current.

You're responsible for your account credentials and for all activity under your account. Keep your password secure and notify us promptly at support@hey-lette.com if you suspect unauthorized use. You may not share your account, impersonate anyone, or create an account using false information.

4The Hey'Lette services

Depending on your account type and subscription, the Services may include:

  • Marketplace — listings for external travel-nursing opportunities sourced from agencies and other third parties.
  • Hey'Lette Direct — opportunities offered directly by hospitals and health systems that use our hospital portal.
  • Profiles & matching — tools to build a professional profile and connect with opportunities and other professionals.
  • Logistics resources — housing, transportation, and licensing information.
  • Safety & stipend insights — location-based safety scores derived from public data sources, and per-diem/stipend estimates derived from published government rates.
  • Communications — messaging, notifications, and updates related to your use of the Services.

Safety scores, stipend estimates, listings, and other information are provided for general informational purposes, may be incomplete or inaccurate, and should not be relied on as the sole basis for any decision. We may add, change, suspend, or remove features at any time.

5Pro Subscription & billing

Some features require a paid Pro Subscription, billed monthly through our payment processor. By subscribing, you authorize recurring charges to your payment method until you cancel or the subscription is otherwise turned off.

Cancellation, renewal, sponsorship, and refund terms — including the rule that access continues through the end of the paid month after you cancel or become sponsored — are described in detail in our Refund & Subscription Policy, which forms part of these Terms.

6Hospital sponsorship

A hospital or health system may sponsor your Pro access. When that happens, we turn off your paid Pro Subscription on the same terms as a cancellation (access continues through the end of the current paid month, with no further billing), as described in the Refund & Subscription Policy. The scope and duration of any sponsorship are determined between you, the sponsoring organization, and Hey'Lette, and may end at any time in accordance with that arrangement.

7Placements, employment & EOR

Hey'Lette connects nurses and professionals with opportunities; it may employ you but does not guarantee any job, assignment, placement, compensation, hours, or outcome. Any employment or engagement you obtain is between you and the relevant employer, hospital, agency, or employer-of-record ("EOR") provider.

Where an assignment is administered through a third-party EOR provider, that provider — not Hey'Lette — is your employer of record and is responsible for payroll, withholding, benefits, and related obligations. You are responsible for reviewing and agreeing to the terms of any employer, hospital, agency, or EOR provider you work with.

8Your licensure & credentials

You are solely responsible for holding and maintaining all licenses, certifications, and credentials required to practice in any jurisdiction where you accept work, and for the accuracy of any licensing or credential information you provide. Hey'Lette does not verify, guarantee, or assume responsibility for your eligibility to practice. Nothing on the Services constitutes legal or regulatory advice about licensure.

9Your content

You retain ownership of the content you submit (profile details, documents, and the like). You grant Hey'Lette a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and use that content as needed to operate, provide, and improve the Services. You represent that you have the rights to the content you submit and that it doesn't violate any law or third-party right.

10Acceptable use

You agree not to:

  • Violate any law or the rights of others, or post false, misleading, or unlawful content;
  • Misrepresent your identity, licensure, qualifications, or affiliation;
  • Harass, threaten, defame, or discriminate against any person;
  • Upload malware or attempt to disrupt, probe, or gain unauthorized access to the Services;
  • Scrape, harvest, or collect data from the Services except as expressly permitted;
  • Use the Services to send spam or unauthorized commercial communications;
  • Reverse engineer or copy the Services, or use them to build a competing product.

We may investigate and take action — including removing content and suspending or terminating accounts — for any violation.

11Third-party services

The Services rely on and link to third parties (such as payment processing, hospitals, agencies, EOR providers, housing and transportation resources, and data sources). We don't control and aren't responsible for third-party services, content, or terms. Your dealings with third parties are solely between you and them.

12Intellectual property

The Services, including their software, design, text, graphics, and the Hey'Lette name and logos, are owned by Hey'Lette or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose, subject to these Terms. All rights not expressly granted are reserved.

13Communications & notifications

By using the Services, you agree we may contact you with service-related and, where permitted, promotional messages by email, in-app message, push notification, and (where you've provided a number and consented) text message. Push notifications are delivered through a third-party provider. You can manage notification preferences in your device or app settings, and you can opt out of marketing messages at any time. Some service messages are necessary to operate your account and can't be turned off without closing your account.

14Disclaimers

Without limiting the above, Hey'Lette does not warrant that the Services will be uninterrupted, secure, or error-free, or that any listing, safety score, stipend estimate, or other information is accurate, complete, or current. We make no guarantee of any job, placement, income, or outcome. Some jurisdictions don't allow certain warranty exclusions, so some of these may not apply to you.

15Limitation of liability

16Indemnification

You agree to indemnify and hold harmless Hey'Lette and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, your violation of these Terms or any law, or your dealings with any employer, hospital, agency, EOR provider, or other third party.

17Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access at any time if you violate these Terms, create risk or legal exposure, or if we discontinue the Services. Sections that by their nature should survive termination — including ownership, disclaimers, liability limits, indemnification, and dispute resolution — will survive.

18Disputes & governing law

Informal resolution first

Before filing a claim, you agree to contact us at legal@hey-lette.com and try to resolve the dispute informally for at least 30 days.

Binding arbitration & class waiver

Except for small-claims matters and requests for injunctive relief, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration on an individual basis. You and Hey'Lette waive the right to a jury trial and to participate in a class, collective, or representative action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@hey-lette.com with your name, account email, and a clear statement that you opt out.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Where arbitration doesn't apply, the exclusive venue is the state or federal courts located in Delaware, and you consent to their jurisdiction.

19Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll provide reasonable notice (for example, by posting the updated Terms with a new effective date or notifying you in-app). Your continued use of the Services after changes take effect means you accept the updated Terms.

20General terms

These Terms, together with the Privacy Policy and Refund & Subscription Policy, are the entire agreement between you and Hey'Lette regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We aren't liable for delays or failures caused by events beyond our reasonable control.
